1. Introduction

Welcome to This Just In (“TJI,” “we,” “our,” or “us”). These Terms of Service (“Terms”) are a legally binding agreement between you and This Just In News, Inc, a Delaware C-Corporation, and govern your access to and use of our mobile application, website, and related services (collectively, the “Service”).

By accessing, downloading, installing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

2. Eligibility

To create an account or use the Service, you must:

  • Be at least 13 years old (or the minimum age of digital consent in accordance with the laws of your jurisdiction).

  • If under 18, have parental or guardian consent.

  • Not be barred from using the Service under applicable laws.

  • Not have been previously removed or banned from the Service for violating these Terms.

If you are under 18, you confirm that your parent or guardian has reviewed and agreed to these Terms.

3. Account Registration & Security

To use certain features, you must create an account by providing accurate and complete information. You agree to:

  • Maintain the confidentiality of your login credentials.

  • Promptly update your information to keep it accurate.

  • Be responsible for all activity under your account.

We may require you to verify your identity, including providing government-issued ID, before enabling certain features, processing payouts, or granting creator program access.
We reserve the right to suspend or terminate accounts that contain false information or violate these Terms.

4. Acceptable Use of the Service

When using This Just In, you agree not to:

  • Post unlawful, defamatory, obscene, hateful, threatening, or harassing content.

  • Impersonate any person or entity, or misrepresent your affiliation.

  • Use bots, scripts, scrapers, or other automated means without our permission.

  • Circumvent restrictions or manipulate our trust rating or political mapping systems, including, but not limited to, coordinated mass voting, use of fake accounts, or employing automation to influence results.

  • Engage in spam, fraud, or other manipulative behavior.

We reserve the right to monitor, remove content, suspend accounts, or take any action we deem necessary to maintain a safe and lawful environment.

5. Content Ownership & Licensing

5.1 Your Content
You retain all ownership rights to the content you post, including videos, photos, audio, graphics, text, and other works protected by intellectual property laws (“Your Content”). When you share, post, or upload Your Content to or in connection with the Service, you grant This Just In News, Inc a non-exclusive, royalty-free, transferable, sublicensable, worldwide license to:

  • Host, store, cache, and back up Your Content.

  • Use, distribute, run, copy, publicly perform, or display Your Content.

  • Modify, adapt, translate, create derivative works, or incorporate Your Content into other works (e.g., captions, highlight reels, political spectrum visualizations).

This license exists for the limited purpose of operating, promoting, developing, and improving the Service.

5.2 License Termination
This license ends when you delete Your Content from our systems, except:

  • Technical backup copies may persist for up to 90 days solely for disaster recovery, security, or compliance purposes, after which they will be permanently deleted or overwritten.

  • Copies of Your Content may remain if other users have saved, shared, or reposted it, and such copies will continue to be subject to this license until removed by those users or as otherwise required by law.

Nothing in this section limits your rights under applicable law to request deletion of personal data, including rights under the GDPR or CCPA.

6. Creator Incentive Programs

We offer two distinct creator incentive programs: Cash Payouts and Equity Grants. Participation is subject to eligibility requirements, program-specific rules, and applicable law.

6.1 Cash Payout Program
To qualify for cash payouts, creators must:

  • Post at least 4 pieces of content per month (original or cross-posted).

  • Maintain a Creator Trust Rating above 70%.

  • Comply with community standards and avoid policy violations.

Payout amounts are based on factors such as total views, referral activity, and program budgets. The program may be modified, suspended, or discontinued at any time.

6.2 Equity Grant Program
To qualify for annual equity grants, creators must:

  • Post at least 6 pieces of content per month, including a minimum of 2 original (non-cross-posted) videos.

  • Maintain a Creator Trust Rating above 70%.

  • Be an active member of the invite-only Founding Creator Class.

  • Meet minimum engagement thresholds (views, audience interaction) as determined by This Just In News, Inc.

Equity grants are subject to applicable securities laws and may require the execution of additional agreements. Equity is distributed annually on a vesting schedule and subject to continued compliance. Allocation is based on proportional contribution to platform-wide viewership.

6.3 Fraud & Misconduct
We may withhold or revoke payouts or equity if we suspect fraudulent activity, manipulation of trust ratings, or policy violations.

7. Referral Programs

We may offer referral programs for both creators and users. Rewards are subject to:

  • Completion of specified actions by referred users

  • Compliance with anti-fraud rules (no fake accounts, no automated signups)

  • Program-specific limits and expiration dates

Referral rewards may be subject to taxes in your jurisdiction. You are responsible for reporting them. We may modify or terminate referral programs without notice.

8. Termination of Service

We reserve the right to suspend or terminate your account or access to the Service at any time, with or without cause. Upon termination, we may delete your account and content, except as required by law or per Section 5.

9. Disclaimers

The Service is provided “as is” without warranties of any kind. This Just In News, Inc does not guarantee the Service will be uninterrupted, error-free, or secure.

10. Limitation of Liability

To the fullest extent permitted by law, This Just In News, Inc is not liable for:

  • Indirect, incidental, or consequential damages

  • Loss of data, revenue, or goodwill

  • User-generated content or third-party actions

11. Indemnification

You agree to defend, indemnify, and hold harmless This Just In News, Inc, its affiliates, and personnel from any claims arising from your use of the Service or violation of these Terms.

12. Changes to Terms

We may update these Terms periodically. If changes are material, we’ll notify you (e.g., in-app or via email). Continued use after changes means you accept them.

13. Governing Law & Dispute Resolution

These Terms are governed by Delaware law.

Binding Arbitration. All disputes will be resolved by binding arbitration administered by the American Arbitration Association (AAA). Arbitration will be conducted before a single arbitrator in Wilmington, Delaware (or mutually agreed location).

Small Claims Exception. Either party may bring claims in small claims court in their local jurisdiction.

Class Action Waiver. You and This Just In News, Inc. agree to resolve disputes only on an individual basis.

Opt-Out Option.
You may opt out of arbitration within 30 days of accepting these Terms by sending written notice to:

DMCA Notice and Takedown Policy

This Just In News, Inc. (“TJI,” “we,” “us,” or “our”) respects the intellectual property rights of others and expects users of our services to do the same. It is our policy to respond to clear notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (“DMCA”) and to terminate, in appropriate circumstances, the accounts of users who are repeat infringers.

2. How to Submit a DMCA Takedown Notice

  1. A physical or electronic signature of a person authorized to act on behalf of the owner of the allegedly infringed copyright.

  2. Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works on the Services are covered by a single notification, a representative list of such works.

  3. Identification of the material that is claimed to be infringing or to be the subject of infringing activity, and information reasonably sufficient to permit us to locate the material on the Services (for example, a URL or in-app link, channel/creator name, and, if possible, timestamp).

  4. Contact information for the complaining party, such as a name, address, telephone number, and email address.

  5. A statement that the complaining party has a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.

  6. A statement that the information in the notification is accurate and, under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

We may be unable to respond if your notice does not include all required information.

Upon receipt of a proper DMCA notice, we will act expeditiously to remove or disable access to the allegedly infringing material and will take reasonable steps to notify the user who posted it.

3. Counter-Notification Procedure

If you believe that material you posted or uploaded was removed or disabled by mistake or misidentification, you may send our Designated Agent a counter-notification. Your counter-notification must include all of the following:

  1. Your physical or electronic signature.

  2. Identification of the material that has been removed or to which access has been disabled, and the location at which the material appeared before it was removed or access was disabled (for example, URL, in-app link, channel/creator name, and timestamp if applicable).

  3. A statement under penalty of perjury that you have a good-faith belief that the material was removed or disabled as a result of mistake or misidentification.

  4. Your name, address, and telephone number, and a statement that you consent to the jurisdiction of the federal district court for the judicial district in which your address is located (or, if you are outside of the United States, for any judicial district in which This Just In may be found), and that you will accept service of process from the person who provided the original DMCA notice or that person’s agent.

Upon receipt of a valid counter-notification, we may forward a copy of the counter-notification to the original complaining party and inform them that we may restore the removed content in 10–14 business days, unless our Designated Agent receives notice that a court action has been filed to restrain you from engaging in infringing activity relating to the material on our Services.

We may, but are not obligated to, restore the content in our sole discretion.

4. Repeat Infringer Policy

In accordance with the DMCA and other applicable law, it is our policy to terminate, in appropriate circumstances and at our sole discretion, the accounts of users who are deemed to be repeat infringers.

A “repeat infringer” is typically a user who has received multiple valid DMCA notices regarding content they have uploaded or posted on the Services. We may also terminate accounts of users who repeatedly violate others’ intellectual property rights even if such violations do not result in formal DMCA notices.

We reserve the right to:

  • Remove or disable access to any content alleged to be infringing, at any time and in our sole discretion.

  • Terminate any user’s account for a single instance of willful infringement or in response to a court order or settlement agreement.

5. Misrepresentations

Under the DMCA, any person who knowingly misrepresents that material or activity is infringing, or that material or activity was removed or disabled by mistake or misidentification, may be liable for damages (including costs and attorneys’ fees). Before submitting a notice or counter-notice, you may wish to consult with legal counsel.

Equity grants are subject to applicable securities laws and may require the execution of additional agreements. Equity is distributed annually on a vesting schedule and subject to continued compliance. Allocation is based on proportional contribution to platform-wide viewership.

6.3 Fraud & Misconduct
We may withhold or revoke payouts or equity if we suspect fraudulent activity, manipulation of trust ratings, or policy violations.

7. Referral Programs

We may offer referral programs for both creators and users. Rewards are subject to:

  • Completion of specified actions by referred users

  • Compliance with anti-fraud rules (no fake accounts, no automated signups)

  • Program-specific limits and expiration dates

Referral rewards may be subject to taxes in your jurisdiction. You are responsible for reporting them. We may modify or terminate referral programs without notice.

8. Termination of Service

We reserve the right to suspend or terminate your account or access to the Service at any time, with or without cause. Upon termination, we may delete your account and content, except as required by law or per Section 5.

9. Disclaimers

The Service is provided “as is” without warranties of any kind. This Just In News, Inc does not guarantee the Service will be uninterrupted, error-free, or secure.

10. Limitation of Liability

To the fullest extent permitted by law, This Just In News, Inc is not liable for:

  • Indirect, incidental, or consequential damages

  • Loss of data, revenue, or goodwill

  • User-generated content or third-party actions

11. Indemnification

You agree to defend, indemnify, and hold harmless This Just In News, Inc, its affiliates, and personnel from any claims arising from your use of the Service or violation of these Terms.

12. Changes to Terms

We may update these Terms periodically. If changes are material, we’ll notify you (e.g., in-app or via email). Continued use after changes means you accept them.

13. Governing Law & Dispute Resolution

These Terms are governed by Delaware law.

Binding Arbitration. All disputes will be resolved by binding arbitration administered by the American Arbitration Association (AAA). Arbitration will be conducted before a single arbitrator in Wilmington, Delaware (or mutually agreed location).

Small Claims Exception. Either party may bring claims in small claims court in their local jurisdiction.

Class Action Waiver. You and This Just In News, Inc. agree to resolve disputes only on an individual basis.

DMCA Notice and Takedown Policy

This Just In News, Inc. (“TJI,” “we,” “us,” or “our”) respects the intellectual property rights of others and expects users of our services to do the same. It is our policy to respond to clear notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (“DMCA”) and to terminate, in appropriate circumstances, the accounts of users who are repeat infringers.

2. How to Submit a DMCA Takedown Notice

  2. Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works on the Services are covered by a single notification, a representative list of such works.

  3. Identification of the material that is claimed to be infringing or to be the subject of infringing activity, and information reasonably sufficient to permit us to locate the material on the Services (for example, a URL or in-app link, channel/creator name, and, if possible, timestamp).

  4. Contact information for the complaining party, such as a name, address, telephone number, and email address.

  5. A statement that the complaining party has a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.

  6. A statement that the information in the notification is accurate and, under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

We may be unable to respond if your notice does not include all required information.

Upon receipt of a proper DMCA notice, we will act expeditiously to remove or disable access to the allegedly infringing material and will take reasonable steps to notify the user who posted it.

3. Counter-Notification Procedure

If you believe that material you posted or uploaded was removed or disabled by mistake or misidentification, you may send our Designated Agent a counter-notification. Your counter-notification must include all of the following:

  1. Your physical or electronic signature.

  2. Identification of the material that has been removed or to which access has been disabled, and the location at which the material appeared before it was removed or access was disabled (for example, URL, in-app link, channel/creator name, and timestamp if applicable).

  3. A statement under penalty of perjury that you have a good-faith belief that the material was removed or disabled as a result of mistake or misidentification.

  4. Your name, address, and telephone number, and a statement that you consent to the jurisdiction of the federal district court for the judicial district in which your address is located (or, if you are outside of the United States, for any judicial district in which This Just In may be found), and that you will accept service of process from the person who provided the original DMCA notice or that person’s agent.

Upon receipt of a valid counter-notification, we may forward a copy of the counter-notification to the original complaining party and inform them that we may restore the removed content in 10–14 business days, unless our Designated Agent receives notice that a court action has been filed to restrain you from engaging in infringing activity relating to the material on our Services.

We may, but are not obligated to, restore the content in our sole discretion.

4. Repeat Infringer Policy

In accordance with the DMCA and other applicable law, it is our policy to terminate, in appropriate circumstances and at our sole discretion, the accounts of users who are deemed to be repeat infringers.

A “repeat infringer” is typically a user who has received multiple valid DMCA notices regarding content they have uploaded or posted on the Services. We may also terminate accounts of users who repeatedly violate others’ intellectual property rights even if such violations do not result in formal DMCA notices.

We reserve the right to:

  • Remove or disable access to any content alleged to be infringing, at any time and in our sole discretion.

  • Terminate any user’s account for a single instance of willful infringement or in response to a court order or settlement agreement.

5. Misrepresentations

Under the DMCA, any person who knowingly misrepresents that material or activity is infringing, or that material or activity was removed or disabled by mistake or misidentification, may be liable for damages (including costs and attorneys’ fees). Before submitting a notice or counter-notice, you may wish to consult with legal counsel.
